A1. Eligibility

You must be at least 16 years old to create an account or use the Services, as described in our Privacy Policy. By using the Services, you confirm that you meet this requirement and that all information you provide is accurate.

A2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that provide false information, violate these Terms, or are used fraudulently.

A3. License to Use the App

Subject to your compliance with these Terms, Klaim grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device you own or control, solely for your personal, non-commercial use (for End Users) or for your business's own promotional purposes (for Vendors), and solely in the manner permitted by these Terms.

You may not: reverse-engineer, decompile, or disassemble the App; copy, modify, or create derivative works of the App; rent, lease, sell, sublicense, or otherwise transfer your rights in the App; remove or alter any proprietary notices; or use the App in any way that violates applicable law.

A4. Prohibited Conduct

You agree not to:

• Create multiple or fake accounts to claim, redeem, or farm promotional codes ("Codes") beyond what a promotion permits;
• Use bots, scripts, or automated means to claim or redeem Codes;
• Sell, trade, transfer, or publicly share Codes issued to your account, except as expressly permitted by a specific promotion's terms;
• Post content that is unlawful, defamatory, obscene, hateful, infringing, or that impersonates another person or brand;
• Submit fraudulent proof of redemption (e.g., fake receipts, staged posts) to obtain an additional Code;
• Interfere with or disrupt the integrity or performance of the Services;
• Attempt to gain unauthorized access to the Services, other users' accounts, or our systems;
• Use the Services for any purpose that is illegal under the laws of the United Arab Emirates or your local jurisdiction.

We reserve the right to investigate suspected violations, suspend or terminate accounts, void Codes obtained through prohibited conduct, and pursue any other remedy available to us.

A5. User-Generated Content and License Grant

When you post photos, videos, captions, comments, or other content ("User Content") on the Services, you retain ownership of your User Content. However, by posting, you grant Klaim a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify (for formatting purposes only), distribute, publicly display, and publicly perform your User Content in connection with operating, promoting, and improving the Services — for example, displaying your post to other users or to the relevant brand, or featuring it in Klaim's own marketing (in-app, on our website, or on our social media channels).

This license continues even if you delete your account, solely to the extent your content has already been shared with, or incorporated into, promotional or brand-facing materials, or otherwise as needed to comply with law. You represent that you own or have the necessary rights to the User Content you post, and that it does not infringe any third party's rights.

We may remove any User Content that violates these Terms or that we determine, in our discretion, is inappropriate, without prior notice.

A6. Reporting and Content Moderation

Klaim has zero tolerance for objectionable content or abusive behavior on the Services. If you encounter content or another user that you believe violates these Terms, you can report it in one of two ways: (i) using the in-app "Report" function on the relevant post, or (ii) by contacting us directly at chanakya.s@connectedcommunity.in describing the content or user in question.

We aim to review and act on reports within 24 hours of receipt. Where a report is substantiated, we may remove the reported content, and may warn, suspend, or permanently remove the account of the offending user, at our discretion.

A7. Intellectual Property

The Services, including the Klaim name, logo, App design, and underlying software (excluding User Content and Vendor Content, defined in Part C), are owned by Nine71Media LLC or our licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

A8. Third-Party Services

The Services may link to or integrate with third-party services (e.g., Google Firebase, or a brand's own website or point-of-sale systems). We are not responsible for the content, accuracy, or practices of third-party services, and your use of them is governed by their own terms.

A9. Disclaimer of Warranties

A10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Klaim (Nine71Media LLC), its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services.
• For Vendors, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total fees actually paid by that Vendor to Klaim in the six (6) months preceding the event giving rise to the claim, subject to an absolute maximum cap of AED 18,000 per Vendor, regardless of the fees actually paid.
• For End Users, because Klaim does not charge you to use the Services, our total aggregate liability to you will not exceed AED 100 (one hundred UAE Dirhams), except where a higher amount is required by mandatory applicable law.
• Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or gross negligence.

A11. Indemnification

You agree to indemnify and hold harmless Klaim (Nine71Media LLC), its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your User Content or Vendor Content, or your misuse of the Services.

A12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for any other reason at our discretion, including discontinuing the Services entirely. You may stop using the Services and delete your account at any time. Sections that by their nature should survive termination (including Sections A5, A7, A9–A11, and A13) will survive.

A13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

A14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by other reasonable means, and will update the "Last Updated" date. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

A15. Apple App Store Additional Terms

If you downloaded the App from the Apple App Store, the following additional terms apply and take precedence over any conflicting term in these Terms, solely with respect to your use of the App on Apple devices:

• These Terms are between you and Klaim (Nine71Media LLC) only, and not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content.
• The license granted to you is limited to a non-transferable license to use the App on an Apple-branded device that you own or control, consistent with the App Store's usage rules.
• Apple has no obligation to furnish any maintenance or support services for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund any applicable purchase price for the App to you (where applicable); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App or your possession/use of the App infringes a third party's intellectual property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• You must comply with any applicable third-party agreement terms (e.g., your mobile device or data plan agreement) when using the App.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

A16. Google Play Additional Terms

If you downloaded the App from Google Play, your use is also subject to Google Play's Terms of Service, and Google is not responsible for the App's content, functionality, or your use of it. These Terms remain the primary agreement between you and Klaim.

B1. How Klaim Works for End Users

Klaim allows you to browse promotions created by participating brands ("Vendors"), claim a promotional code ("Code") for a promotion, and redeem that Code at the Vendor's store or website according to the Vendor's own redemption process. If you redeem a Code and then post about your redemption on the App in accordance with a promotion's rules, you may become eligible to receive an additional Code from the same Vendor, at that Vendor's discretion.

B2. Codes Are Issued and Honored by Vendors, Not Klaim

Klaim is a platform that connects you with Vendor promotions. We do not create, control, or guarantee any promotion, discount, or Code. All Codes are issued and honored entirely at the discretion of the Vendor who created the promotion. Accordingly:

• Klaim does not guarantee that any Code will be accepted or honored by a Vendor.
• Klaim is not responsible for a Vendor's failure to honor a Code, for changes a Vendor makes to a promotion's terms, or for a Vendor discontinuing a promotion early.
• Klaim does not provide refunds, credits, or any other compensation if a Code is not honored, a promotion is unavailable, or a redemption does not go as expected.
• Any dispute about a promotion or Code must be resolved directly between you and the relevant Vendor. Klaim may, at its discretion, assist with communication but has no obligation to resolve such disputes or to compensate you.

B3. Claiming and Redeeming Codes

Each Code may only be used in accordance with the specific promotion's stated terms (e.g., validity period, applicable products, redemption location). Codes are single-use unless a promotion states otherwise, are non-transferable, and may not be sold or exchanged for cash. Klaim and/or the relevant Vendor may void a Code obtained through fraud, abuse, or violation of these Terms.

B4. Posting Content to Earn Additional Codes

If a promotion offers an additional Code in exchange for a post, you must post genuine content reflecting an actual redemption in accordance with that promotion's specific rules to be considered. Klaim and/or the Vendor may review posts before issuing an additional Code and may decline to issue one if the post does not meet the promotion's requirements or appears fraudulent. There is no guarantee that posting will result in receiving an additional Code — this is at the Vendor's discretion.

B5. No Cost to End Users

Klaim does not charge End Users to download the App, create an account, or claim and redeem Codes.

C1. How Klaim Works for Vendors

Klaim allows you to create promotions consisting of a set number of discount codes ("Coupons") that End Users can claim and redeem at your store or through your own point of sale. You control the terms of each promotion, including the discount offered, the number of Coupons issued, and the promotion's live and expiry dates, subject to the process described below.

C2. Promotion Creation, Fees, and Activation

1. Coupon volume: You select the number of Coupons to be issued for each promotion, subject to a minimum of 20 Coupons per promotion.
2. Fee: Klaim charges a fee of AED 3.00 per Coupon issued, plus applicable VAT (currently 5%), invoiced in AED.
3. Invoicing: Once you create and approve a promotion, Klaim is notified and will issue you an invoice for the total fee due (Coupons × AED 3, plus VAT).
4. Payment: Klaim does not currently process payments through an in-app payment gateway. You must pay the invoiced amount via the payment method specified on the invoice and upload proof of payment within the App.
5. Activation: Once we confirm your proof of payment, we will activate your promotion. Activating a promotion does not make it visible to End Users until the promotion's scheduled live date is reached — you may complete this entire process in advance of your intended launch date.
6. Non-refundable once live: Once a promotion goes live (i.e., becomes visible and available to End Users), fees paid for that promotion are non-refundable, regardless of the number of Coupons actually claimed or redeemed by End Users.
7. We reserve the right to change the per-Coupon fee, minimum Coupon volume, or invoicing/payment process at any time on notice to Vendors, effective for promotions created after the change.

C3. Promotion Duration and Coupon Validity

Each promotion is valid for a defined period from its live date (currently set at up to 90 days; we intend to reduce this to a maximum of 30 days for promotions created after that change takes effect, and will provide notice before doing so). Coupons issued under a promotion must be claimed and redeemed by End Users within that promotion's active period. Coupons not redeemed within the applicable period expire automatically and are not eligible for extension, credit, or refund.

C4. Vendor Responsibility for Honoring Coupons

You, as the Vendor, are solely responsible for honoring every valid Coupon issued under your promotion, in accordance with the terms you set for that promotion. Klaim is not a party to, and assumes no responsibility for, the transaction between you and the End User at the point of redemption. You retain 100% of the proceeds from sales made using a Coupon, except where you and Klaim agree otherwise in writing for a specific promotion.

You agree to:

• Honor all valid, unexpired Coupons presented by End Users in accordance with your stated promotion terms;
• Not retroactively alter a promotion's terms in a way that would deny a benefit already earned by an End User;
• Promptly notify Klaim if you are unable to honor Coupons for any reason, so we can inform affected End Users.

Failure to honor valid Coupons may result in suspension of your Vendor account and removal of your promotions from the Services, in addition to any other remedy available to Klaim or affected End Users directly against you.

C5. Vendor Content and Data Use

You retain ownership of all content you upload to create a promotion, including logos, images, and promotional copy ("Vendor Content"). By uploading Vendor Content, you grant Klaim a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that Vendor Content solely for the purpose of operating and promoting your promotion within the Services.

As described in our Privacy Policy, you will have access to claim and redemption data relating to your own promotions, including the number of times a specific End User has claimed or redeemed Coupons from your brand, which you may use to inform future offers to that End User. You may not use this data for any purpose outside the Services, and may not attempt to re-identify or contact End Users outside of the Services except as otherwise permitted by the End User or required by law.

C6. No Subscription (Currently)

Klaim currently operates on a pay-per-promotion basis; there is no recurring subscription fee. We may introduce subscription or other pricing models in the future, in which case we will provide notice and updated terms before any such model applies to you.

C7. Vendor Representations

You represent and warrant that: you have the legal authority to bind your business to these Terms; all promotions and Coupons you create comply with applicable law (including UAE consumer protection and advertising regulations); and you will not use the Services to advertise or promote any product or service that is illegal, restricted, or requires a license you do not hold in the applicable jurisdiction.
